Terms of Service

These Terms of Service ("Terms") govern your use of Slatedrop ("Service"), provided by Slatedrop ("we", "us", "our"), based in New Zealand. By creating an account or using the Service you agree to these Terms.

1. The Service

Slatedrop is a collaborative whiteboard platform. You can create workspaces, draw and annotate on shared boards, invite others to collaborate, and share boards via links. Some features are available only on a paid subscription.

2. Eligibility

You must be at least 13 years old to use Slatedrop. If you're under 18, you confirm that you have your parent or guardian's permission to use the Service. By creating an account you also confirm that you have the legal capacity to enter into these Terms.

3. Your account

  • You're responsible for keeping your sign-in credentials safe and for all activity under your account.
  • Provide accurate information when signing up. You can update it any time from the Account menu.
  • Tell us immediately if you suspect unauthorised access to your account.

4. Subscriptions and payment

  • Slatedrop offers a free tier and a paid Pro tier. Pricing for your region is shown on the pricing page before you commit.
  • Pro subscriptions are billed in advance, monthly or yearly, in the currency shown at checkout. Subscriptions auto-renew at the end of each billing period unless cancelled.
  • You can cancel anytime from the customer portal. Cancellation takes effect at the end of your current billing period — you keep Pro access until then.
  • All payments are processed by Stripe. Your card details never reach our servers.
  • Refunds: we don't offer refunds for partial billing periods. If you believe you've been billed in error, email us and we'll work it out.
  • Price changes: we may change prices, but we'll give you at least 30 days' notice before any change affects your renewal. You can cancel before renewal if you don't want to pay the new price.
  • Where applicable, prices include local taxes (e.g. NZ GST, AUS GST). Some prices are shown excluding tax (e.g. USD); tax is added at checkout.

5. Your content

  • You retain all rights to the content you create on Slatedrop — drawings, notes, uploaded images.
  • You grant us a non-exclusive, worldwide licence to host, store, transmit, display, and process your content as needed to operate the Service for you and the people you collaborate with. This licence ends when you delete the content (subject to backup retention described in our Privacy Policy).
  • You're responsible for ensuring you have the rights to upload any content (e.g. images) and that the content doesn't infringe anyone else's rights.
  • We don't claim ownership of your content. We don't use your content to train AI models or for advertising.

6. Acceptable use

You agree not to use Slatedrop to:

  • Break the law or facilitate illegal activity.
  • Upload, transmit, or share content that is unlawful, abusive, harassing, hateful, defamatory, sexually explicit, violent, or infringing.
  • Impersonate someone else or misrepresent your affiliation with a person or organisation.
  • Send spam, distribute malware, or attempt to access accounts or data that aren't yours.
  • Probe, scan, or test the Service's security, scrape content without permission, or interfere with normal operation (including via automation, bots, or excessive load).
  • Use the Service to host content unrelated to the whiteboard workflow (e.g. as general file storage or a CDN for unaffiliated websites).
  • Resell, sublicense, or rent access to Slatedrop without our written agreement.

7. Public boards and shared content

You can choose to make boards public via share links or invite others to your workspaces. When you share a board, anyone with the link can join and view (and, depending on the board type, contribute). You're responsible for what you choose to share. We may take down boards that violate these Terms.

8. Intellectual property

The Slatedrop name, logo, branding, software, and design are our intellectual property (or licensed to us). These Terms don't transfer any of those rights to you. You're welcome to mention Slatedrop and link to us — please don't use our brand in a way that suggests endorsement or affiliation we haven't given.

9. Termination

  • By you: you can stop using the Service at any time. To delete your account, use the Account menu in your dashboard or email us.
  • By us: we may suspend or terminate your account if you breach these Terms, if your use poses a risk to the Service or other users, or if required by law. Where possible we'll give you notice and a chance to fix the issue.
  • On termination, your access ends and your content may be deleted in line with our Privacy Policy retention periods. Active subscriptions are not refunded.
  • We may discontinue the Service or features with reasonable notice. If we shut down the paid Service, we'll refund any unused pre-paid time on a pro-rata basis.

10. Service availability and changes

We do our best to keep Slatedrop available and working well, but we don't guarantee uninterrupted, error-free operation. We may add, change, or remove features at our discretion.

11. Disclaimers

To the fullest extent permitted by law, Slatedrop is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We don't warrant that the Service will meet your requirements, be uninterrupted, or be free from errors or harmful components.

If you're a consumer in New Zealand or Australia, nothing in these Terms limits any non-excludable rights you have under the Consumer Guarantees Act 1993 (NZ) or the Australian Consumer Law.

12. Limitation of liability

To the fullest extent permitted by law, Slatedrop's total liability to you in connection with the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. We're not liable for indirect, incidental, special, consequential, or exemplary damages (including lost profits, lost data, or business interruption), even if we've been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or costs (including reasonable legal fees) arising from your use of the Service in breach of these Terms or any applicable law, or from content you upload or share that infringes someone else's rights.

14. Governing law and disputes

These Terms are governed by the laws of New Zealand. You and we both agree that the courts of New Zealand have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service. Before going to court, please email us first — most issues we can sort out directly.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you via email or via a prominent notice on the Service before the change takes effect. By continuing to use Slatedrop after the change you accept the updated Terms.
